International Business Transactions
Our international business transactional experience ranges from forming one-person, small business corporations to being lead-counsel on $40+ million mergers and acquisitions. We prepare and enforce contracts that protect our clients, including distribution contracts, buy-sell agreements, licensing agreements, letters of intent, memoranda of understandings, non-disclosure agreements, release agreements, warranties, employment contracts, non-competition agreements, and more. We negotiate private equity term sheets for our clients and support them through the venture capital process and eventual private placement or public offering.
We help foreign-persons comply with reporting requirements under the Agricultural Foreign Investment Disclosure Act, Currency and Foreign Transactions Reporting Act (including FINCEN forms), Hart-Scott-Rodino Antitrust Improvements Act, Defense Production Act, the Internal Revenue Code and others. We can advise and support you from the time you initiate your business idea until the time you fully exploit it through an IPO.
U.S. Visas, Immigration & Citizenship
Kurt A. Wagner is a former U.S. diplomat and U.S. Consular Officer. Debbie Schell of counsel with her own law practice is a former labor lawyer. Together we have written four books on immigration law. This experience allows us to help you no matter what immigration issue you face. Tightening U.S. visa, immigration and citizenship laws affect individuals, families, companies, and organizations. We work with individuals to obtain B-1/B-2 visitors visas, extensions of stay, adjustments of status, hardship waivers, J-1 two-year foreign residence requirement waivers, and obtaining permanent resident status. We help families with family-based immigration visas and sponsorship issues. We help Green-Card holders get citizenship. We help companies, organizations, universities, and hospitals comply with immigration law through proper preparation of I-9s, labor certifications, and maintenance of records for PERM audits, and help them employ qualified foreign workers under H-1B, H-2B, H-2A, EB-1, EB-2 and EB-3 visas. We represent clients before the Board of Immigration Appeals.
Intellectual Property Law
We protect your brand names, trademarks, copyrights, trade secrets and proprietary know-how. We have a record of successful trademark prosecutions for both small and large businesses including a significant number of start-ups, as well as artists, musicians and authors. We represent clients before the U.S. Patent and Trademark Office Trademark Trial and Appeal Board and the U.S. Copyright Office. Richard E. Schell, of counsel with his own law practice brings our clients significant experience and expertise in publishing and self publishing. We do not practice patent law.
U.S. tax laws are complex and far reaching. Many individuals, companies and organizations have U.S. tax planning, reporting, and compliance needs – even if they do not live or operate in the United States. We help U.S. expatriates with the complexities of international tax planning, double income tax treaty-based tax positions, FATCA compliance, FBAR compliance, Form 2555 income exclusion, Form 1116 foreign tax credits, and the new tax laws and forms brought to us by the Tax Cuts and Jobs Act of 2018. We help domestic and international sole proprietorships, partnerships, trusts, limited liability companies, and corporations with choice of entity decisions, and preparation of Schedule C to Form 1040, 1040-NR, Form 5472, Forms 1065 and 8865 for partnerships, Forms 1120, 1120-F, 1118, etc. for corporations and Form 1041 for trusts.
We also can represent you before the Internal Revenue Service. As your lawyers, all discussions we have with you about your tax situation are protected by the attorney-client privilege.
